Momentum Terms of Service

1. Eligibility

• The Platform is intended for professional use by creative agencies and related businesses.
• Users must be at least 18 years old to access Momentum.
• Accounts are provisioned by an organization's Admin; self-registration is not available.

2. User Accounts & Access

• Account Creation: Only Admins may create, edit, or deactivate user accounts.
• Login Credentials: Users must safeguard their credentials. You are responsible for all activities under your account.
• Role-Based Access: Access to data and features depends on your assigned role (Admin, Project Manager, Member).
• Unauthorized Use: You may not share credentials, attempt to bypass security, or use the Platform in violation of organizational policies.

3. Use of the Platform

Users agree to use Momentum solely for lawful business purposes, including:

• Managing projects, resources, and tasks.
• Receiving updates, reminders, and reports via WhatsApp AI Assistant.
• Logging time and schedules in connection with agency operations.

You may not use the Platform to:

• Upload or transmit unlawful, harmful, or abusive content.
• Interfere with the operation of the Platform.
• Attempt to reverse engineer or exploit the software.

4. WhatsApp AI Assistant

• The Platform integrates with WhatsApp Business API to deliver reminders, updates, and task interactions.
• By using this feature, you consent to receiving communications through WhatsApp.
• Standard messaging/data rates may apply, depending on your mobile carrier.

5. Data & Privacy

• Our collection and use of personal information are governed by the Momentum Privacy Policy.
• Users acknowledge that data such as names, tasks, roles, and time logs may be visible to Admins or Project Managers as part of team operations.
• We do not sell personal data.

6. Intellectual Property

• All rights, title, and interest in the Platform, including software, design, and trademarks, belong to Dinosaur Vietnam.
• Users retain ownership of their project and content data but grant us a limited license to process such data to operate the Platform.
• You may not copy, resell, or distribute the Platform without prior written consent.

7. Service Availability & Updates

• We strive to ensure reliable service but do not guarantee uninterrupted access.
• Features may be updated, modified, or discontinued at our discretion.
• We may suspend access temporarily for maintenance or security reasons.

8. Fees & Payment

• Access to Momentum may be subject to subscription or licensing fees agreed upon with your organization.
• Non-payment may result in suspension or termination of services.

9. Termination

We may suspend or terminate accounts if users:

• Breach these Terms.
• Engage in unlawful activity or misuse of the Platform.
• Cause harm to other users or the integrity of the service.

Upon termination, users lose access, but organizational data may be retained according to our Privacy Policy.

10. Disclaimers & Limitation of Liability

• The Platform is provided "as is" without warranties of any kind.
• We are not responsible for losses caused by service interruptions, data delays, or third-party failures (e.g., WhatsApp availability).
• To the fullest extent permitted by law, Dinosaur Vietnam's liability is limited to the fees paid by your organization in the preceding 12 months.

11. Indemnification

You agree to indemnify and hold harmless Dinosaur Vietnam, its affiliates, and staff from claims arising out of your misuse of the Platform or violation of these Terms.

12. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Vietnam.
• Disputes will be resolved through negotiation, and if unresolved, through arbitration or competent courts in the governing jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
